CMA Corporate Governance Regulations

Amended January 2024. Requires a 3-5 member audit committee with independence and finance-expertise tests, and governs the appointment and dismissal of internal auditors. The OECD 2025 Corporate Governance Factbook documents the changes.

SAMA Principles of Internal Auditing for Local Banks

Effective 01/01/2022. Governs board oversight, audit-committee duties, internal-audit independence and qualifications in licensed banks. Reinforced by the May 2024 Key Principles of Governance in Financial Institutions and the SAMA Cybersecurity Framework.

Saudi Authority for Internal Auditors (SAIA)

Originally established in 2011 under Council of Ministers Decision No. 84; renamed and empowered to issue professional licences in 2025. The licensing function was transferred from the Ministry of Commerce — materially raising the credentialing bar.

    CMA Corporate Governance Regulations amended

    Tightened audit-committee composition and added provisions on appointment and dismissal of internal auditors. The OECD 2025 Corporate Governance Factbook documents the implementation.

    Companies Law (Royal Decree M/132 of 2022) effective

    All joint-stock companies must maintain an audit committee. Listed JSCs must additionally have nomination, remuneration and risk committees. Article 52(d)(3) governs related-party review.

    NCA ECC-2 (Essential Cybersecurity Controls v2)

    Expands scope and reinforces minimum maturity expectations for in-scope organisations. SAMA's Cybersecurity Framework requires Maturity Level 3 minimum for banks. Internal audit owns the assurance over both regimes.

  4. 2025

    SAIA rename and licensing transfer

    The Saudi Institute of Internal Auditors became the Saudi Authority for Internal Auditors and was empowered to issue professional licences. The credentialing bar for internal auditors in the Kingdom is materially higher than before.

    SAMA Key Principles of Governance in Financial Institutions

    Reinforces board oversight, internal-audit independence, and the audit committee's responsibilities for licensed financial institutions. Bank audit functions are expected to align documentation and committee reporting accordingly.

  6. Jan 2025

    IIA Global Internal Audit Standards 2024 effective

    Replaced the 2017 IPPF across the Kingdom. SAIA-licensed practitioners are expected to conform to the new 5 Domains / 15 Principles / 52 Standards architecture, with explicit evidence-of-conformance documentation.
