Kuwait's internal-audit regime rests on three pillars. CMA Module 15 — Corporate Governance

The Capital Markets Authority's Executive Bylaws Module 15 governs listed entities. CMA Decision 56 of 2026 (gazetted 10 May 2026) is the latest amendment. Article 6-9 requires an independent audit firm to evaluate internal control annually and submit an Internal Control Report to the CMA.

CBK Corporate Governance Instructions

Updated 10 September 2019 (replacing the 2012 version). Mandates audit, risk-and-compliance, nomination, remuneration, governance and (for Islamic banks) Sharia committees. Banks may NOT outsource internal-control assessment to their external auditor.

State Audit Bureau

Kuwait's supreme audit institution, accountable to the National Assembly. Public-sector internal audit coordinates with SAB findings and reports through the audit-committee perimeter.

    CMA Decision 56 of 2026 — Module 15 amendments

    Issued 6 May 2026, gazetted 10 May 2026. The latest amendment to Module 15 strengthens governance, internal-control, and audit-committee oversight for listed entities.

    CBK Corporate Governance Instructions (current version)

    The 2019 update replaced the 2012 Instructions. Banks must maintain a full committee architecture and may not outsource internal-control assessment to the external auditor — driving demand for capable internal-audit tooling.

    IIA Global Internal Audit Standards 2024 effective

    The Kuwait Internal Auditors Association (IIA Kuwait Chapter, established 2016 and elevated to a national entity in 2019) aligns with the new 5 Domains / 15 Principles / 52 Standards architecture.

  4. Feb 2026

    IIA Cybersecurity Topical Requirement mandatory

    Becomes mandatory globally for IIA-conforming functions from 5 February 2026. Kuwait's financial-services issuers operate under CBK cyber expectations the Requirement formalises in IA workflows.
