MOIC Corporate Governance Code (2022)

Decree 19/2018 as amended by Decree 91/2022. Applies to non-CBB-licensed joint-stock companies. Requires annual corporate-governance reports and reinforces audit-committee independence.

Article 184-bis, Commercial Companies Law

Mandates an audit committee of at least three directors, the majority independent, with an independent chair. Applies across all joint-stock companies in the Kingdom — public and closed.
